Terms and Conditions of Sale
Welcome to our Shopify store. These Terms and Conditions outline the rules and regulations for purchasing goods and services from Machine Ltd NZ (the "Supplier"). By using our online store, you agree to be bound by these Terms and Conditions.
1. General
1.1 These Terms and Conditions, governed by New Zealand law, apply to all transactions conducted via our Shopify store. 1.2 The Supplier reserves the right to update these Terms and Conditions at any time without notice. Updates will be effective upon posting to our website. 1.3 These Terms constitute the entire agreement between the Supplier and the Buyer regarding the purchase of goods and services, superseding any prior agreements or communications.
2. Definitions
2.1 "Goods" refers to any products and/or services offered by the Supplier. 2.2 "Buyer" refers to any individual or entity purchasing from the Supplier. 2.3 "Contract" refers to the agreement formed upon the Supplier’s acceptance of the Buyer’s order.
3. Orders and Acceptance
3.1 By placing an order, the Buyer agrees to purchase the Goods in accordance with these Terms. 3.2 The Supplier reserves the right to refuse any order for any reason, including but not limited to unavailability of stock or inaccurate pricing information. 3.3 Variations or cancellations of orders are only accepted if confirmed in writing by the Supplier and may incur a handling fee of up to 15% of the price.
4. Pricing and Payment
4.1 All prices listed are in New Zealand Dollars (NZD) and exclude Goods and Services Tax (GST) unless stated otherwise. 4.2 Payments must be made in full at the time of purchase via the payment methods available on our Shopify store. 4.3 The Supplier reserves the right to correct pricing errors or omissions.
5. Delivery
5.1 Delivery times are estimates and subject to availability. The Supplier is not liable for delays caused by third-party carriers or events beyond our control. 5.2 Risk in the Goods transfers to the Buyer upon dispatch from the Supplier’s premises. The Buyer is responsible for ensuring adequate insurance coverage for the Goods during transit. 5.3 Any discrepancies in the delivered Goods must be reported to the Supplier within 14 days of delivery.
6. Returns and Refunds
6.1 Goods may be returned for refund or exchange only with prior written approval from the Supplier and must be returned in original, saleable condition within 7 days of delivery. 6.2 A restocking fee of up to 15% and return freight costs may apply, except where Goods are faulty or incorrectly supplied. 6.3 Refunds will be processed once returned Goods have been inspected and approved.
7. Ownership and Security
7.1 Ownership of Goods remains with the Supplier until payment in full has been received. 7.2 If the Buyer defaults on payment, the Supplier may recover and resell the Goods and take legal action to recover outstanding amounts, including all associated costs.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, the Supplier’s liability for any claims arising out of or related to the Goods is limited to the purchase price of the Goods in question. 8.2 The Supplier is not liable for any indirect, incidental, or consequential damages, including but not limited to loss of profits, revenue, or data.
9. Consumer Guarantees Act 1993
9.1 If the Buyer is acquiring the Goods for business purposes, the guarantees and rights provided under the Consumer Guarantees Act 1993 do not apply. 9.2 Where applicable, the Buyer retains all rights under the Act.
10. Intellectual Property
10.1 All intellectual property, including designs, technical information, and content provided by the Supplier, remains the property of the Supplier and may not be used without written consent.
11. Force Majeure
11.1 The Supplier will not be liable for delays or failure to perform due to circumstances beyond its control, including but not limited to natural disasters, strikes, or transport interruptions.
12. Compliance
12.1 The Buyer is responsible for ensuring compliance with any relevant laws and regulations relating to the installation and use of the Goods.
